These Terms detail the protection policies and corresponding measures implemented by the Platform regarding agreement amendments, user account generation, user information management, software updates, user privacy protection, and other relevant matters. Aitomistic products and services are owned and operated by Aitomistic.

By accessing the Platform or using the Services, you acknowledge that you have read, understood, and agree to be bound by all terms, conditions, and provisions of this Terms of Use (hereinafter "these Terms"). If you do not agree to these Terms, please refrain from accessing the Platform or using the Services.

1. Acceptance of Terms#

By using the Services, you confirm that:

• Age Requirement: You are at least 18 years old and have full civil capacity; or you are between 16 and 18 years old with your primary source of income from labor, and possess the legal capacity to enter into these Terms.
• Organizational Authority: If using the Platform on behalf of an organization, you confirm that you have obtained lawful authorization from the organization and that this agreement is binding on it.

2. License to Use the Services#

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and Aitomistic products and services solely for lawful and scientific research purposes. You may not use the Aitomistic products and services for any purpose that violates Chinese laws and regulations, public order and good morals, or the prohibitions set forth in these Terms.

3. User Responsibilities#

You agree to:

• Accuracy of Information: Provide true, complete, and valid information when using the Services and promptly update any changes.
• Lawful Use: Use the Services only for lawful and scientific purposes. You may not use the Services to produce harmful, illegal, or unethical substances (including but not limited to toxic and hazardous items, explosives, etc.).
• Technical Restrictions: When using the Platform and Services, you shall not:
  • Use technical means (e.g., reverse engineering, decompiling) to access, obtain, or modify the source code or technical parameters of the Service;
  • Remove copyright information from the Platform or its copies;
  • Use, reproduce, modify, distribute, or exploit Platform content protected by intellectual property rights without authorization, including renting, lending, linking, reposting, compiling, publishing, or creating mirror sites.
• Data Security: Ensure no illegal, infringing, or confidential data is uploaded, stored, or transmitted via the Services.
• Compliance: Adhere to Chinese laws, including but not limited to the Civil Code, Cybersecurity Law, Data Security Law, and Personal Information Protection Law (PIPL).
• Citation: Cite our Services, which you used, in your academic publications.

4. Intellectual Property#

• Platform Ownership: Aitomistic is the intellectual property rights holder of the Platform. All intellectual property rights in the Platform, including but not limited to copyrights, trademark rights, patent rights, trade secrets, and other proprietary rights, as well as all related content (including without limitation domain names, text, images, audio, video, charts, interface designs, page layouts, data, and electronic documents), are protected under the laws of the People's Republic of China, including the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law, relevant international treaties, and other applicable intellectual property laws and regulations.
• Product and Services: The intellectual property rights (including but not limited to algorithms, software, data models, model architectures, simulation models, user interfaces, and other related technologies) of the products and services provided by Aitomistic are exclusively owned by Aitomistic.
• User Data: You retain ownership of the data you input into the services (e.g., chemical structures, molecular data). You grant Aitomistic a non-exclusive, worldwide, royalty-free license to use, store, and process such data for the purposes of providing and improving the services, provided that such processing complies with the legal bases under the Personal Information Protection Law of the People's Republic of China (PIPL) (e.g., user consent or contractual necessity).

5. User Account Management#

• Account Registration: When registering for an account, users must provide true, accurate, up-to-date, and complete information as guided by the registration page. Users shall not register using false information or another person's information. This includes, but is not limited to, submitting personal information such as your own email address, phone number, and SMS verification code.
• Account Ownership and Usage Rights: The ownership of the account solely belongs to the Platform. After completing the registration process, the user is granted limited usage rights, which are non-transferable and exclusively assigned to the registered user. The user shall be legally liable for all activities and events conducted under their login credentials. Users are prohibited from transferring, gifting, lending, or otherwise authorizing third parties to use the account. If such unauthorized sharing occurs, the user shall bear full responsibility and be jointly liable with the actual user for any resulting consequences.
• Account and Password Security: Users are obligated to safeguard the security of their account and password. If unauthorized access or security breaches occur, users must immediately notify the Platform. The Platform shall not be liable for unauthorized account use caused by hacking, system security vulnerabilities, or the user's negligence in protecting their account credentials.
• Password Reset: If a user loses or forgets their password and resets it via their registered phone number, the Platform will only verify whether the provided information matches the account records. The Platform shall not be responsible for losses arising from identity fraud during verification or any resulting damages.
• Account Cancellation: If a user requests account cancellation or is terminated from using the Platform's services, the Platform may permanently delete or anonymize the user's registration information in accordance with statutory time limits. After termination, the Platform has no obligation to return or restore any data associated with the account.

6. Disclaimer of Warranties#

The Platform and Aitomistic's products and services are provided "as is" and "as available" without any warranties, express or implied. We do not warrant the following:

• The accuracy, reliability, or suitability of simulation results for any specific purpose.
• The Services will be uninterrupted, error-free, or fully secure.
• The Services will fully meet your requirements or expectations.

Additionally, the Platform may incorporate third-party software and AI models that are not owned by us but for which we have obtained the necessary permissions to use. We do not assume any responsibility for the operation, accuracy, or reliability of such third-party software and AI models. By using our Platform and Services, you acknowledge and agree to comply with the terms and conditions associated with these third-party tools. When utilizing these tools in your research or publications, you must acknowledge and respect the respective Terms of Use of these third-party providers, and give appropriate credit in any academic publications resulting from their use.

7. Limitation of Liability#

To the fullest extent permitted by law, we are not liable for:

• Indirect, incidental, consequential, or special damages arising from your use of the Platform (e.g., lost profits, data loss).
• Losses or damages resulting from reliance on simulation results or other Service content.
• Any consequences arising from your breach of these Terms or laws.

Under the current applicable laws, if any waiver or limitation of liability provisions in this Agreement pertaining to claims against us or the Platform are deemed invalid or unenforceable, you hereby acknowledge and agree that any claims you may assert against the Platform shall only be limited to the direct damages actually incurred, excluding indirect, incidental, consequential, or punitive damages.

8. Termination#

If you breach this Agreement, violate applicable laws and regulations, or engage in any prohibited activities as set forth herein, Aitomistic reserves the right to reject your registration application, immediately terminate or restrict your access to the Services if you have already completed registration, and shall not be liable for any damages, losses, or consequences arising from such actions:

• Upload or disseminate illegal or infringing content.
• Engage in activities endangering cybersecurity or data security.
• Use technical means to improperly obtain or exploit Service resources.

The termination of the Service shall not be deemed to relieve you of the obligations that you are required to fulfill during the term of this Agreement and the period of your account registration and use, nor shall it directly negate the legal consequences arising from your actions prior to such termination.

9. Governing Law and Dispute Resolution#

This agreement is governed by the laws of the People's Republic of China (mainland). Disputes arising from these Terms or the Services shall be resolved through friendly negotiation first. If unresolved, either party may file a lawsuit with the Qianhai Court of Shenzhen Nanshan District.

10. Changes to Terms#

Aitomistic reserves the right to modify these Terms at its discretion when necessary. Any modifications will be prominently displayed on key pages of the Platform to notify users of the changes. If you disagree with the amended content, you may apply to deactivate your account. Continuing to use the Platform's services after the modifications shall be deemed as your acceptance of the updated Terms.

11. Upgrades and Service Changes#

Aitomistic reserves the right at any time and in its sole discretion to modify, upgrade, alter, or transfer the Platform and its related functionalities. Aitomistic further reserves the right to develop new features or multilingual services within the Platform. All new features or software services provided hereunder, unless otherwise explicitly stated by Aitomistic, shall remain subject to these Terms.

To enhance user experience and improve service functionality and content, Aitomistic has the right to update or adjust the Platform's services, functions, or content as needed for business development, including but not limited to software modifications, replacements, functional optimizations, or version upgrades.

Aitomistic reserves the right to modify software functionalities or temporarily suspend the provision of Platform services for system upgrades or renovations, but shall endeavor to provide prior notice where practicable. You agree that Aitomistic shall not be liable for any losses or damages arising from such modifications or suspensions, and you hereby waive any claims against Aitomistic or third parties in connection with such actions.

12. Notice and Delivery#

All notices to you may be transmitted via the communication methods you have provided on the Platform, including but not limited to email, regular mail, or prominently posted announcements on the website. Aitomistic shall deliver such notices to you through one or more of these methods to inform you of modifications to the Service Terms, service changes, or other important matters.

You shall ensure and maintain the validity of the contact information provided. If such information is false, invalid, or otherwise fails to ensure timely receipt of business notifications, customer service communications, complaint resolutions, dispute coordination, or technical support, you shall bear the corresponding liability for any resulting consequences.

Aitomistic may, from time to time, send business notifications, service reminders, verification messages, or other communications related to the Service to you via one or more of the following methods: website announcements, email, SMS, in-app messages, or instant messaging tools.

All parties shall guarantee the authenticity and validity of their contact information. Notifications shall be deemed to have been delivered upon dispatch, regardless of actual receipt.

13. Miscellaneous Provisions#

If any provision of these Terms is deemed invalid or unenforceable by a court of law, such provision shall be severable, and the remaining provisions of these Terms shall remain in full force and effect.

The headings of these Terms are for convenience of reference only and shall not define, limit, interpret, or describe the scope or boundaries of any provision.

These Terms shall take effect on the date you agree to these Terms by selecting the checkbox and successfully completing your registration as a user of the Platform. These Terms shall remain effective unless Aitomistic terminates these Terms or you lose your user status. Termination of these Terms shall not relieve you of any obligations or liabilities arising from these Terms, other related agreements, or rules.

Aitomistic reserves the sole and exclusive right to interpret these Terms and their provisions.
